The commercial and usage terms for OrgX.

These terms define account responsibility, acceptable use, AI output review, workspace data rights, integrations, billing, AppSumo redemptions, security expectations, termination, disclaimers, and liability limits.

Your content stays yours

You keep ownership of workspace data, prompts, imports, artifacts, decisions, and generated outputs, subject to rights held by upstream sources.

No unsafe automation

You are responsible for approvals before agents take high-impact actions such as sending, publishing, billing, deleting, deploying, or merging code.

Clear commercial rules

Paid plans, credits, AppSumo redemptions, refunds, renewals, and cancellations are governed by the plan terms shown at checkout or redemption.

This public summary is intended to be readable, but it is still a legal agreement. Enterprise, DPA, BAA, marketplace, AppSumo, or order-form terms may add or override parts of these Terms for the customer covered by that signed or accepted document.

1. Acceptance and scope

These Terms of Service govern access to OrgX websites, applications, APIs, MCP servers, ChatGPT app surfaces, widgets, agents, proof rooms, exports, support channels, and related services.

By creating an account, connecting a workspace, redeeming an offer, authorizing an integration, or using OrgX through a client such as ChatGPT, Claude, Cursor, Codex, or another MCP-compatible client, you agree to these Terms.

If you use OrgX for an organization, you represent that you have authority to bind that organization. If you do not have that authority or do not agree to these Terms, do not use OrgX.

2. Accounts, workspaces, and administrators

You are responsible for account credentials, workspace membership, invited users, integration grants, and actions taken through your account or workspace.

Workspace owners and administrators may configure plans, members, billing, connectors, agents, approval policies, exports, proof rooms, and retention behavior. OrgX may rely on administrator instructions as authorized workspace instructions.

You must keep account information accurate and promptly revoke access for users, clients, or integrations that should no longer access the workspace.

3. Acceptable use

You may not use OrgX to break the law, violate third-party rights, abuse services, send unlawful or unsolicited messages, perform unauthorized security testing, bypass access controls, overload infrastructure, or interfere with another customer.

You may not reverse engineer non-public systems, scrape protected areas, resell OrgX as a competing service, remove proprietary notices, or use OrgX to build or train a directly competing platform except as permitted by law.

You may not submit secrets, payment card numbers, government IDs, health records, passwords, cookies, private keys, or unrelated sensitive personal data unless the relevant OrgX feature is explicitly designed to receive that information.

4. AI agents, outputs, and human review

OrgX coordinates AI agents and automation, but outputs may be incomplete, inaccurate, stale, or unsuitable for your intended use. You are responsible for reviewing outputs before relying on them.

High-impact actions, including external sends, publishes, deletes, billing changes, production deployments, pull-request merges, and credential changes, should be reviewed by an authorized human unless your workspace has explicitly configured a safe approval policy for that action.

You are responsible for deciding whether outputs require legal, financial, medical, security, compliance, or professional review. OrgX does not provide those professional services.

5. Customer data and generated content

As between you and OrgX, you own Customer Data you submit to OrgX and generated content created for your workspace, subject to any rights held by the original source, integration provider, model provider, or third party.

You grant OrgX a limited license to host, process, transmit, display, analyze, and transform Customer Data only as needed to provide, secure, support, improve, and document the services.

You are responsible for ensuring that you have the rights and permissions needed to submit Customer Data, connect third-party systems, and instruct OrgX to process that data.

6. Integrations and third-party services

OrgX can connect to third-party services such as source control, project management, messaging, analytics, document, model, billing, storage, and workflow providers. Those services are governed by their own terms and privacy notices.

When you authorize an integration, OrgX may send and receive data required for the requested workflow, subject to the scopes and permissions you approve.

OrgX is not responsible for third-party service downtime, data handling, rate limits, account restrictions, pricing changes, or errors outside OrgX control.

7. Plans, billing, credits, and AppSumo redemptions

Paid plans, metered credits, usage limits, included seats, feature access, renewal terms, and taxes are described at checkout, in the billing portal, on the pricing page, or in the applicable order, redemption, or offer terms.

Stripe or another payment processor may handle checkout, invoices, receipts, taxes, payment status, and payment method details. OrgX does not store full payment card numbers.

AppSumo or lifetime-deal redemptions are governed by the specific redemption terms shown with the offer. Unless an offer states otherwise, third-party API costs, customer-provided provider keys, overages, premium integrations, custom services, and future enterprise add-ons may remain outside the lifetime entitlement.

Refunds, cancellations, plan changes, and credit adjustments are handled according to the applicable checkout, offer, or written agreement. Access may continue through the paid period unless the account is suspended for cause.

8. Security, privacy, and data controls

OrgX maintains administrative, technical, and organizational safeguards designed to protect Customer Data. No service can guarantee perfect security.

The Privacy Policy explains what data OrgX collects, how it is used, retention practices, user controls, and sub-processor disclosures.

You are responsible for configuring workspace members, integration scopes, approval policies, exported proof rooms, shared links, and credential hygiene appropriately for your organization.

9. Service availability and changes

OrgX may modify, suspend, discontinue, or replace features as the service evolves. We try to avoid material disruption and provide notice when changes materially reduce paid functionality.

Preview, beta, experimental, or early-access features may change, fail, or be removed without notice and may not be covered by the same support commitments as generally available features.

We may perform maintenance, upgrades, security work, or emergency changes that temporarily affect availability.

10. Suspension and termination

You may stop using OrgX at any time. Workspace administrators may delete workspaces, disconnect integrations, remove members, or request export and deletion according to product and support paths.

OrgX may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay amounts owed, abuse the service, or use OrgX in a way that could harm OrgX, customers, providers, or third parties.

When practical and legally permitted, we will provide a chance to export Customer Data before termination. We may withhold access where required for security, legal, fraud, or abuse reasons.

11. Disclaimers

OrgX is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, OrgX disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

OrgX does not warrant that outputs will be accurate, that integrations will always be available, that third-party providers will maintain current behavior, or that the service will be uninterrupted or error-free.

12. Limitation of liability

To the fullest extent permitted by law, OrgX will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or procurement of substitute services.

To the fullest extent permitted by law, OrgX aggregate liability for claims related to the services is limited to the greater of amounts you paid to OrgX for the affected service in the 12 months before the event giving rise to the claim or 100 US dollars.

13. Indemnity

You will defend, indemnify, and hold OrgX harmless from claims arising from Customer Data, your use of the services, your integrations, your violation of these Terms, or your violation of law or third-party rights.

OrgX will promptly notify you of claims requiring indemnity and reasonably cooperate, at your expense, in the defense.

14. Updates, governing law, and contact

OrgX may update these Terms by posting a revised version and updating the effective date. Material changes will be communicated through reasonable channels before they take effect when required by law or contract.

If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver.
